1. Scope, Definitions
These GTC apply to all purchase contracts concluded via our online shop chinapremium.de, as well as to purchase contracts concluded outside the shop, provided these GTC are referenced.
A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed professional activities (§ 13 BGB). An entrepreneur is a natural or legal person, or a legally capable partnership, who acts in the exercise of their commercial or self-employed professional activity when concluding a legal transaction (§ 14 BGB).
For entrepreneurs, the B2B special provisions in Section 15 apply additionally. Deviating terms and conditions of the customer do not apply unless we have expressly agreed to their validity.

3. Offers and Conclusion of Contract
The product representations in the shop are non-binding.
By clicking “Place Order with Obligation to Pay,” you submit a binding offer. The contract is concluded when we accept your order via email (order confirmation) or deliver the goods.
Reasonable technical modifications serving product improvement are reserved.
4. Prices, Shipping Costs, Payment Methods, Due Date
Consumer prices are final prices including statutory VAT, plus shipping costs displayed at checkout.
For entrepreneurs, prices – unless otherwise stated – are net plus VAT and shipping.
Payment methods (e.g., credit card, PayPal, Klarna/Shop-Payments) are displayed at checkout. Payment is due upon conclusion of the contract.
5. Delivery, Delivery Times, Transfer of Risk
We deliver within Germany (other countries as indicated in shipping instructions). Delivery time in Germany is usually 2–5 business days; deviations are indicated on the product/shipping page. The period begins upon conclusion of the contract; for prepayment, upon receipt of payment. Deliveries are not made on Sundays or public holidays.
Risk of transport: For consumers, the risk passes upon delivery to the customer. If consumers choose the carrier themselves (not offered by us), the risk passes upon handover to the carrier. For entrepreneurs: see Section 15.3.
Partial deliveries are reasonable and free of charge to you.
6. Retention of Title
The goods remain our property until full payment is received. For entrepreneurs, Section 15.4 applies additionally.
7. Right of Withdrawal for Consumers
Consumers have a statutory right of withdrawal of 14 days. The withdrawal instructions including the model form are available on our website and in the order confirmation (durable medium).
8. Voluntary Return Policies
If we offer voluntary returns beyond the statutory right of withdrawal, the conditions specified for the respective promotion/product apply.
9. Statutory Warranty (Liability for Defects)
The statutory warranty rights apply.
For consumers, the limitation period is 2 years from delivery.
For entrepreneurs, the limitation period is 1 year from delivery; statutory special limitation periods (especially recourse under § 445a BGB) remain unaffected. Warranty does not cover damages resulting from improper use, normal wear and tear, or interference by third parties.
Note (not a prerequisite): Please report obvious transport damage as soon as possible – your rights remain unaffected.
10. Liability
We are fully liable in cases of intent and gross negligence, injury to life, body, or health, assumption of a guarantee, as well as under the Product Liability Act.
In cases of simple negligence, we are only liable for breach of essential contractual obligations (cardinal obligations); in this case, liability is limited to the foreseeable, typically occurring damage. This also applies in favor of our legal representatives and vicarious agents.
11. Vouchers & Promotions
Conditions for promotional/gift vouchers are communicated at the time of issuance (e.g., minimum order value, validity, exclusions).
12. Use of Sensitive Products
For products with camera/microphone/network functions, privacy and personal rights must be observed. Lawful use is the responsibility of the customer.
13. Contract Text, Correction Options, Languages
We store the contract text and send you the order data and GTC via email. If a customer account is used, past orders can be viewed there.
Input errors can be corrected at any time before submitting the order in the checkout (e.g., via your browser’s back function or the provided edit fields).
The contract language is German.
14. Dispute Resolution
The EU Commission provides a platform for online dispute resolution: https://ec.europa.eu/consumers/odr/.
We are neither obligated nor willing to participate in a dispute resolution procedure before a consumer arbitration board.
15. Special Provisions for Entrepreneurs (B2B)
15.1 Priority / Applicability
This section applies exclusively to entrepreneurs (§ 14 BGB) and supplements the other provisions.
15.2 Duty to Examine and Notify (§ 377 HGB)
The entrepreneur must examine the goods immediately upon delivery and notify of obvious defects immediately, hidden defects immediately upon discovery. Failure or delay in notification excludes defect claims.
15.3 Transfer of Risk / Shipment Purchase
Risk passes to the entrepreneur once we hand over the goods to the carrier/shipper.
15.4 Retention of Title (Extended)
We retain ownership until all claims arising from the ongoing business relationship are settled. The entrepreneur is entitled to resell in the ordinary course of business; claims arising from this are already assigned to us up to the invoice amount; we accept the assignment. Processing/mixing is carried out for us as manufacturer; co-ownership arises proportionally to the values. Upon request, we release securities if their value exceeds our claims by more than 20%.
15.5 Price/Condition Adjustment for Long-Term Orders
For agreed delivery periods over 4 weeks and unforeseeable significant cost changes (e.g., energy, material, freight, customs, or currency costs), reasonable adjustments are possible. We inform before execution; if no agreement is reached, a special termination right exists.
15.6 Set-Off / Retention
Set-off is only permitted with undisputed or legally established counterclaims. Rights of retention exist only from the same contractual relationship.
15.7 Jurisdiction, Governing Law
Jurisdiction is Dresden if the customer is a merchant within the meaning of the HGB. German law applies, excluding the UN Sales Convention (CISG). For consumers, statutory jurisdictions apply.
15.8 Force Majeure
In cases of force majeure (e.g., official measures, significant international supply chain disruptions, epidemics, natural disasters), deadlines are extended appropriately; if performance becomes permanently impossible or unreasonable, both parties may withdraw from the contract. Already rendered services will be reversed.
16. Final Provisions
Changes or additions must be in text form (e.g., email), unless a stricter form is legally required.
If individual provisions of these GTC are invalid, the validity of the remaining provisions remains unaffected. Consumer protection rights remain unaffected.
